1. Scope of Engagement
Terjays Studios provides bespoke software engineering, cloud systems integration, operational business platforms, and additive digital manufacturing. Specific deliverables, deadlines, technical architectures, and financial conditions are documented in mutual written proposals and agreements.
2. Milestone Deliverables & Payments
Projects operate on clear milestones: an upfront deposit to initiate architecture and engineering sprints, with progress payments tied to verifiable functional demos. Final release is delivered upon verified completion and sign-off.
3. Intellectual Property Rights
Upon full payment of contracted fees, clients receive ownership of custom-built software deliverables, custom codebases, and tailored database designs as stipulated in their specific service agreement. Underlying open-source libraries, general utility modules, and third-party dependencies remain subject to their respective licenses.
4. Post-Launch Maintenance & Support
Production systems include an initial warranty period covering bug fixes and deployment stability. Ongoing SLA monitoring, database maintenance, infrastructure evolution, and feature expansions are provided under dedicated maintenance agreements.
5. Jurisdiction & Law
These terms and any bilateral project contracts are governed by the laws of Ecuador, with jurisdiction in Cuenca, Ecuador, without prejudice to international commercial arbitration clauses agreed upon in bilateral contracts.
